AGREEMENT TO OUR LEGAL TERMS

These Terms of Use (“Legal Terms,” “Terms”) govern your access to and use of all websites, ecommerce ordering tools, loyalty programs, SMS messaging, digital marketing channels, in-store technology, and related services owned or controlled by MariGrow Inc. d/b/a ÜMI Dispensary (“Company,” “we,” “us,” “our”).

BY ACCESSING OR USING ANY OF THE SERVICES, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE LEGAL TERMS.

1. OUR SERVICES

The Services include:
• online menus and ordering tools connected to third-party ecommerce platforms,
• loyalty and rewards programs,
• in-store digital experiences,
• SMS messaging and email marketing,
• event reservations and promotions,
• informational resources regarding cannabis products.

The Services are not intended for access or use where doing so violates applicable law. Users accessing the Services from outside Illinois do so at their own initiative and remain responsible for local legal compliance.

2. CANNABIS-INDUSTRY COMPLIANCE & AGE RESTRICTION NOTICE

You must be at least 21 years old, or be a qualified medical patient with valid registry identification if applicable, to use the Services.
You agree that:

• You may be required to present government-issued ID for age verification before completing purchases or redeeming orders.
• Cannabis remains illegal under federal law; you assume all risks associated with possession and consumption.
• No information on the Services constitutes medical advice. Consult a qualified healthcare provider before consumption.

We reserve the right to deny access, cancel orders, or refuse service to anyone unable to verify age, identity, or compliance with applicable cannabis laws.

3. INTELLECTUAL PROPERTY RIGHTS

All content, software, code, design, information, graphics, text, images, trademarks, trade dress, and logos displayed through the Services (collectively, “Content” and “Marks”) are owned or licensed by us and protected by U.S. and international law.
You are granted a limited, revocable, non-transferable license to access the Services solely for lawful personal purposes — not for resale, copying, scraping, commercial exploitation, or product data harvesting.

4. USER REPRESENTATIONS

When using the Services, you represent and warrant that:

You have legal capacity to enter these Terms.
You are at least 21 years old or otherwise legally permitted under Illinois law to purchase cannabis.
You will not use the Services for unlawful resell, diversion, or trafficking.
You will not circumvent security, purchasing limits, or identity verification.
You will provide valid information.
Your use complies with Illinois cannabis laws and any other applicable jurisdictional requirements.

We may suspend or terminate Services for false representations.

5. PROHIBITED ACTIVITIES

You agree not to:

• engage in scraping, automated pricing extraction, SKU mining or loyalty data harvesting;
• impersonate others;
• bypass ordering or ID verification procedures;
• interfere with POS systems, camera systems, age-gate controls or compliance interfaces;
• transmit malware or attempt to access restricted systems;
• redistribute content without consent;
• purchase or attempt to purchase products for resale or unlicensed distribution;
• use the Services for unlawful commercial purposes.

Violations may result in termination of access, refusal of service, or legal action.

6. USER GENERATED CONTRIBUTIONS

Where applicable, you may submit reviews, feedback, photographs, testimonials, social media content, contest entries, or event participation (“Contributions”).
You represent that Contributions:

• do not violate third-party rights;
• do not disclose confidential or medical information;
• do not contain unlawful content; and
• are voluntarily submitted without expectation of compensation.

7. CONTRIBUTION LICENSE

By submitting Contributions, you grant us a worldwide, irrevocable, royalty-free license to use, reproduce, publish, display, and adapt the Contribution, including for:

• marketing,
• social media,
• promotional displays, or
• brand materials.

You retain ownership, but we may use Contributions without attribution unless required by law.

8. SERVICES MANAGEMENT

We may monitor use for:

• compliance,
• fraud, diversion, or misuse,
• abusive conduct, or
• attempts to circumvent age verification or regulated purchase limits.

We may suspend accounts, block access, or refer unlawful conduct to law enforcement.

9. TERM AND TERMINATION

We may terminate or restrict access at any time, for any reason—including violations of law, diversion risk, nonpayment, or abusive behavior—without notice.

10. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue Services or features at any time.
We are not liable for outages caused by compliance system upgrades, state reporting systems (e.g., METRC), power failures, or network interruptions.

11. GOVERNING LAW

These Legal Terms are governed by the laws of the State of Illinois, without regard to conflicts of law principles.
Any litigation or court proceeding shall occur exclusively in state or federal courts located in Cook County, Illinois, and you consent to jurisdiction there.

12. DISPUTE RESOLUTION

Before formal proceedings, Parties agree to attempt to resolve disputes through good-faith informal negotiation lasting at least 15 days.

If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (“AAA”), held in Cook County, Illinois.
Exceptions:
• intellectual property claims,
• regulatory or law-enforcement actions, and
• claims for injunctive relief may be filed in court.

Class actions, consolidated proceedings, and class arbitrations are not permitted.

13. CORRECTIONS

We may correct typographical, informational, availability, pricing, or product inaccuracies without notice.

14. DISCLAIMER

THE SERVICES ARE PROVIDED “AS-IS” AND “AS AVAILABLE.”
WE DISCLAIM ANY WARRANTIES RELATING TO:

• accuracy,
• product availability,
• compliance signals/integrations,
• website uptime,
• order fulfillment accuracy, or
• content reliability.

CANNABIS PRODUCTS MAY IMPAIR JUDGMENT; USE RESPONSIBLY AND IN ACCORDANCE WITH APPLICABLE LAW.

15. LIMITATIONS OF LIABILITY

To the fullest extent permitted by law, we are not liable for indirect, consequential, incidental, or punitive damages, and our total liability shall not exceed $100 or the amount you paid us, whichever is greater.

16. INDEMNIFICATION

You will indemnify MariGrow Inc., its subsidiaries, officers, employees, contractors, and agents from claims arising from:

• your violation of these Terms,
• your illegal activity,
• your misuse of the Services, or
• your infringement of intellectual property rights.

17. USER DATA

You remain responsible for backing up your data. We are not responsible for loss or corruption of system data or loyalty history.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using the Services constitutes consent to receive electronic messages, statements, and records.
You agree electronic signatures and agreements are valid and enforceable.

19. MISCELLANEOUS

These Legal Terms constitute the entire agreement.
We may assign our rights without notice.
Invalid provisions do not affect enforceability of the remainder.
